RSUs, ESPP, stock options, vesting, sell-to-cover transactions, US withholding, dividends and overseas brokerage accounts can create several tax events across one year. We help employees and executives reconcile employer payroll, broker statements, foreign taxes and asset disclosures for the correct tax year and residency position.

Choose Your Equity-Compensation Profile

RSU Holder

Vesting, perquisite/payroll reporting, sell-to-cover and later capital gain/loss.

ESPP Participant

Purchase discount, payroll treatment, acquisition cost, sale and foreign tax withheld.

Employee Stock Option Holder

Grant, vesting, exercise, sale and employer-specific documents; treatment depends on plan and facts.

Senior Executive, Multiple Countries

Split-year work, relocation, payroll withholding, treaty/foreign tax credit and residency review.

Overseas Brokerage or Bank Account Holder

Schedule FA/foreign-income review based on residency and applicable reporting rules.

One Award Can Produce Multiple Tax Events

Grant→Vesting / Exercise→Shares Credited→Sell-to-Cover or Sale→Dividend / Other Corporate Action→Year-End Foreign Asset Reporting

Foreign Tax Credit Is Not Automatic

Foreign tax withheld does not mean the same amount is always creditable in India. Review the nature of income, tax paid, treaty position, eligibility, supporting certificate, timing and applicable filing forms/procedure for the relevant year.

Schedule FA Depends on Residency and Reporting Rules

Foreign asset reporting should not be decided by citizenship or employer brand alone. Assess the taxpayer's residency status for the relevant year, the type of account/asset, ownership/beneficial interest, dates, income and applicable disclosure requirements.

Common Mistakes

Treating vesting and later sale as one tax event.
Using gross shares granted instead of actual vesting/release and sale records.
Assuming US withholding automatically settles Indian tax.
Reporting foreign assets without first checking the residency and applicable reporting rules, or omitting them without a review.
Converting currency inconsistently or failing to preserve event dates and broker statements.

Frequently Asked Questions

Are RSUs taxed only when sold?
Not necessarily. Vesting/perquisite and later sale may be separate tax events, depending on the award and applicable law.
Can I claim credit for US tax withheld?
Potentially, subject to the applicable law, treaty, documentation, income mapping and filing procedure.
Must every employee disclose a foreign brokerage account?
The answer depends on residency and the relevant disclosure rules. Do not assume a universal yes/no without reviewing the facts.
What if my employer's payroll value differs from the broker statement?
Preserve both records and reconcile vesting dates, share quantity, valuation, currency and sell-to-cover activity before filing.
I returned to India mid-year. What changes?
Residency, source rules, foreign income and asset disclosures may need a year-specific review. Use the cross-border assessment.
