Crypto Perpetual Futures and Tokenized Assets in India:
Tax and FEMA Questions Before You Trade or Fund the Account
One trading screen can contain very different legal products. Understand the questions that matter for tax classification, P&L, TDS and offshore funding before you file or fund the account.
Important note
This is a general issue-spotting guide, not a product-specific tax or FEMA opinion. Perpetual futures and tokenized assets can be legally complex. Their treatment depends on the contract, rights, settlement mechanics and applicable law. Obtain a written review for material positions.
1. Start with the instrument, not the label
The correct analysis starts with what you legally own or trade, not simply what the platform calls it.
A token that tracks a US share, a token representing a claim over an asset, a cryptocurrency and a cash-settled perpetual futures contract may appear inside the same app. That does not make them the same legal or tax product.
Three questions to ask first
| Question | What to establish |
|---|---|
| What is it? | A token, security interest, contractual claim or derivative? |
| What happened? | Transfer, settlement, collateral movement or conversion? |
| How was it funded? | Indian remittance, existing crypto or offshore balance? |
Product classification starting points
Use the closest description as a starting point. This is not an automatic tax conclusion.
Tokenized stock or asset
Collect issuer terms, custody arrangements, redemption rights and whether you receive actual ownership or only price exposure. Do not assume it is an ordinary share or classify it solely from the platform label.
Crypto perpetual futures
Capture the contract specification, counterparty, margin currency, settlement asset, funding mechanism and liquidation rules. Analyse derivative settlement separately from any distinct transfer or conversion of crypto-assets.
Spot crypto
Reconcile acquisition, wallet movements, swaps, disposals and consideration. If the VDA transfer regime applies, review the special computation and loss restrictions under the law applicable to the relevant tax year.
Mixed products or unclear terms
Download product-level statements and create a separate classification line for each instrument. If the terms do not establish the rights or settlement clearly, request the complete legal documents before reaching a tax or FEMA conclusion.
For each instrument, preserve:
- Issuer and counterparty identity, place of establishment and governing law.
- Product terms, custody, redemption rights and whether you own the underlying asset.
- Settlement currency and whether settlement is by delivery, cash, crypto or stablecoin.
- Leverage, collateral, liquidation rules, contract multiplier and funding-payment mechanism.
- Deposit, trade, fee, profit/loss and withdrawal records.
2. How should perpetual futures be classified?
A perpetual futures position usually provides leveraged exposure to price movements without a conventional expiry date. The position may be settled in USDT, another stablecoin, crypto or a cash equivalent.
Classification caution
A derivative referencing Bitcoin is not necessarily the same thing as transferring Bitcoin. That distinction matters when analysing whether the special virtual digital asset (VDA) transfer regime applies or whether another tax analysis is required. Do not treat the product label as a legal conclusion.
USDT-margined vs coin-margined
| Product feature | What it tells you | What it does not settle |
|---|---|---|
| USDT-margined | Collateral and/or P&L may be recorded in a stablecoin. | Whether a derivative settlement is itself a VDA transfer for tax purposes. |
| Coin-margined | Collateral or settlement may be recorded in the underlying crypto-asset. | Whether every ledger movement is income, a transfer or merely collateral. |
| Tokenized share | May provide a claim, tracking exposure or rights tied to a security. | Whether the holder legally owns the underlying share or receives shareholder rights. |
Maintain a separate record for the derivative result and any distinct acquisition, disposal or conversion of crypto-assets. A profit displayed in USDT does not, by itself, resolve the timing or classification of every tax event.
3. Your exchange dashboard is not your tax computation
Separate the economic events rather than copying the platform's single "net P&L" figure into a return.
| Ledger item | Evidence to retain | Question to resolve |
|---|---|---|
| Realised P&L | Closed positions, contract-level calculation and settlement currency. | When did the contractual result arise and how is it classified? |
| Unrealised P&L | Open positions and year-end exchange report. | Is it merely a mark-to-market figure or a realised amount? |
| Trading fees | Fee currency, date, transaction and platform statement. | Is it deductible under the classification adopted? |
| Funding payments | Funding-rate history and contract rules. | What is the legal character of each payment or receipt? |
| Liquidation | Liquidation price, charges, debit and any remaining liability. | How is the loss or charge treated under the applicable tax regime? |
| Collateral movements | Wallet transfers and margin-account statements. | Is this a transfer of own funds or a separate taxable transaction? |
Do not net blindly
If the VDA transfer regime applies, section 115BBH of the Income-tax Act, 1961 contains specific restrictions on deductions and loss set-off. If the product is analysed as a derivative or business transaction, a different set of rules may become relevant. Document the legal basis before netting fees, funding, liquidations and trading losses.
4. Does section 194S TDS apply?
Section 194S addresses withholding on consideration for transfer of a VDA, subject to its terms and conditions. It should not automatically be assumed to apply to every derivative that references a VDA. Equally, an offshore platform's failure to deduct Indian tax does not prove that the income is exempt.
Review:
- Whether the transaction is a VDA transfer or a derivative settlement.
- The legal payer and whether a withholding obligation applies.
- The exchange statements and any tax documents supplied.
- TDS separately from the taxpayer's final income-tax liability.
Do not rely on a platform's tax settings as a substitute for a transaction-specific review.
5. FEMA and LRS: the risk to review before funding
Income-tax treatment does not make a transaction permissible under the Foreign Exchange Management Act, 1999 (FEMA). A transaction can raise a tax question and a separate foreign-exchange question.
Before transferring funds from India
RBI's LRS guidance states that remittances for margin or margin calls to overseas exchanges or overseas counterparties are not permitted under LRS. The exact structure still needs to be examined against the current RBI framework; do not extend a rule beyond what the official text supports.
Ask these questions before funding an offshore account:
- Was money remitted from India, and what purpose was declared to the authorised dealer bank?
- Will the remittance be used as margin or collateral for an overseas exchange or counterparty?
- Is the product a crypto-asset, security, derivative, forex product or contractual claim?
- Does the transaction route fall within a permitted FEMA framework?
- Can the funding source and subsequent transfers be reconciled with bank and exchange records?
The cited RBI guidance is directly relevant to LRS and margin remittances. It does not, on its own, decide every possible tokenized asset or crypto derivative structure. A product-specific FEMA review is essential before funding a leveraged offshore account.
6. Return reporting: build the evidence trail first
The ITR form and schedules depend on the taxpayer's overall income profile and the defensible classification of the instrument. Do not apply one label to an entire exchange account if it contains several different products.
- Collect the contract. Product terms, issuer documents, settlement rules, counterparty and governing law.
- Export complete account data. Trades, funding, fees, liquidations, deposits, withdrawals and year-end open positions.
- Reconcile assets and cash flows. Match exchange records, wallet transfers, transaction hashes and bank statements.
- Write down the classification. Record the statutory basis, unresolved points and why the adopted treatment is supportable.
- Prepare the return computation. Map the classified transactions to the form and schedules applicable to the relevant tax year.
7. Pre-filing checklist
Collect these items as working papers before you file.
- Exchange trade history and complete account statements
- Product terms, risk disclosures and contract specifications
- Deposits, withdrawals, wallet addresses and transaction hashes
- Realised/unrealised P&L and year-end open positions
- Funding payments, commissions and liquidation charges
- Stablecoin/crypto conversions, quantities and timestamps
- Bank statements, Form A2 and remittance-purpose documents
- Tax classification memo and reconciliation to the ITR
8. Frequently asked questions
Are all tokenized stocks taxed like ordinary shares?
Not automatically. Review whether the token gives ownership or shareholder rights, represents a contractual claim or only tracks a price. The platform label is not enough to establish the legal or tax classification.
Are perpetual futures profits automatically covered by the VDA regime?
Do not assume a universal answer. A perpetual futures contract may provide derivative exposure rather than transfer the referenced crypto-asset. Review the contract and settlement mechanics, and document the classification and uncertainty.
If I leave realised profits on the offshore exchange, does tax automatically wait until withdrawal?
No such conclusion follows merely from the absence of an Indian bank withdrawal. The relevant event depends on the contract, when the right to profit arises, the applicable tax rules and whether a separate asset transfer occurred.
Can I offset every trading loss and fee against profits?
No. The answer depends on classification. Section 115BBH has specific restrictions for income from transfer of VDAs. Do not net fees, funding payments, liquidation losses and trading results without first establishing the applicable legal treatment.
If the exchange did not deduct TDS, is the income tax-free?
No. Withholding and final tax liability are separate. The absence of TDS by an offshore platform does not itself establish exemption.
Can I fund an overseas leveraged account under LRS?
RBI guidance restricts LRS remittances for margin or margin calls to overseas exchanges or overseas counterparties. Confirm the exact funding arrangement and current RBI/FEMA requirements with the authorised dealer bank and a qualified adviser before remitting.
