Do You Need a Fractional CFO?
A Founder's Finance Readiness Check
If your business has an accountant but you still cannot answer how many months of cash do we have, which product is actually profitable or can we afford this hiring plan, the gap may not be bookkeeping. It may be financial leadership.
A fractional CFO gives a business access to senior finance capability on a part-time, retainer or project basis. The value is not the title or the number of spreadsheets produced. It is the ability to connect cash, revenue, margins, hiring, compliance and fundraising decisions to a consistent financial picture.
Founder self-check: do these statements sound familiar?
- Cash balances are available, but there is no rolling forecast.
- The monthly P&L arrives late or cannot be reconciled to the bank and ledger.
- Revenue is growing, but gross margin or cash conversion is unclear.
- Hiring decisions are made without a downside scenario.
- Investor metrics change depending on who prepares the pitch deck.
- The company cannot quickly assemble contracts, invoices, tax records and financial schedules for due diligence.
- Founder expenses, related-party transactions or approvals are handled informally.
- Tax and statutory obligations are tracked in separate spreadsheets with no clear owner.
If three or more apply, consider a finance diagnostic. The answer may be a fractional CFO, improved bookkeeping, a systems fix or a narrower project; the diagnostic should identify the actual bottleneck before recommending a service.
1. What a fractional CFO should deliver
A well-scoped engagement usually covers five workstreams.
- Cash and runway: a rolling forecast that reflects collections, payroll, taxes, debt service, planned hiring and other commitments.
- Performance and unit economics: reporting that explains margin, customer or product performance, retention, acquisition costs and cash conversion.
- Planning: a model connecting operating assumptions to hiring, pricing, expansion and funding requirements.
- Controls and reporting: a close timetable, reconciliations, approval matrix and a management information system (MIS) that management can rely on.
- Capital readiness: consistent financial schedules, a documented model and a controlled response process for investor or lender diligence.
The fractional CFO should complement the founder, finance team, statutory auditor, company secretary and tax adviser. The engagement should state which work is included, which remains with management and which requires a separate specialist.
2. Runway: a number is only as good as its assumptions
Assume a startup has ₹1.2 crore of unrestricted cash and forecasts a net cash outflow of ₹15 lakh a month. The simple calculation suggests eight months of runway. But this is only a rough indicator. A delayed customer payment, annual tax payment, new hiring plan or committed capital expenditure can materially change the outcome.
A rolling forecast should show:
- opening cash and available facilities;
- customer collections by expected date;
- payroll and contractor commitments;
- rent, software and other recurring costs;
- tax and statutory payments;
- capital expenditure and debt service;
- fundraising proceeds separately, with probability and timing assumptions.
A useful forecast has a base case and downside case. It also records forecast-versus-actual differences and explains why they occurred. Do not treat an uncommitted funding round as cash available for operating commitments.
3. Unit economics: separate growth from value creation
A business can grow revenue while losing money on each transaction after discounts, refunds, payment fees, delivery, customer support and other variable costs.
Depending on the model, useful measures may include gross margin, contribution margin, customer acquisition cost, retention, churn, average revenue per customer, acquisition payback period, customer concentration and collection days.
Important
Metric definitions must remain consistent. If one month's customer acquisition cost includes sales salaries and the next month's does not, the comparison is misleading. Lifetime value is an estimate based on assumptions, not cash in the bank. A credible model makes those assumptions visible and tests how the result changes when retention, pricing or acquisition costs deteriorate.
4. The monthly MIS pack founders should expect
A management pack should be short enough to be used and detailed enough to explain decisions. Depending on the business, it may include:
- profit and loss against budget and prior period;
- cash position and rolling forecast;
- accounts receivable ageing and overdue collections;
- accounts payable and upcoming cash commitments;
- gross margin or contribution by product/customer segment;
- headcount and payroll commitments;
- tax and statutory compliance exceptions;
- key operating metrics with a defined calculation method;
- decisions required from management.
Each number should trace to a source and have an owner. The pack should explain the three or four largest variances rather than simply reproduce the ledger.
5. Fundraising readiness: prepare before the data room opens
Investors may request historical accounts, management accounts, revenue schedules, customer concentration, margin analysis, cash forecasts, cap table information, tax filings, statutory records and supporting contracts. If the figures in the pitch deck cannot be reconciled to the books, diligence becomes slower and confidence can deteriorate.
A fractional CFO can coordinate the finance workstream by:
- reconciling management reporting to accounting records;
- creating a metric dictionary;
- documenting forecast assumptions;
- identifying one-off items and revenue-recognition questions;
- preparing a use-of-funds plan;
- maintaining a diligence index;
- coordinating with legal, tax and company-secretarial advisers.
The model should explain a credible business case, not reverse-engineer a desired valuation. Investor-readiness work is not a guarantee of fundraising or a particular valuation.
6. Financial controls without corporate bureaucracy
A small startup may not be able to segregate every finance duty, but it can introduce proportionate safeguards:
- payment approval limits;
- separate review of bank reconciliations;
- controlled vendor-master changes;
- invoice and expense support requirements;
- a monthly close calendar;
- access controls over accounting and banking systems;
- budget-versus-actual review;
- documented related-party and founder transactions.
The goal is to prevent errors and detect exceptions without slowing ordinary operations unnecessarily.
7. What the first 90 days can look like
Days 1 to 30: Establish the baseline
- Review books, bank balances, liabilities and compliance calendar.
- Identify gaps in reporting, reconciliations and ownership.
- Build an initial 13-week cash forecast.
- Agree a monthly MIS format.
Days 31 to 60: Build the operating model
- Create a driver-based forecast and downside case.
- Define key metrics and calculation rules.
- Implement close and payment controls.
- Produce budget-versus-actual reporting.
Days 61 to 90: Embed decision support
- Review pricing, margin, hiring and collection assumptions.
- Prepare a board or founder pack.
- Organise fundraising schedules if required.
- Agree the recurring cadence, deliverables and responsibilities.
If the books are unreliable, cleanup may need to precede unit-economics analysis. A good adviser should say so rather than build a sophisticated model on weak data.
8. What should you ask before engaging a fractional CFO?
Ask the provider:
- What will be delivered each month?
- Which systems and source records are required?
- Who prepares and reviews each output?
- How will forecast accuracy and unresolved exceptions be tracked?
- What is excluded from the scope?
- How will confidentiality and access permissions be handled?
- What decisions will remain with the founder?
- How will the engagement transition if a full-time CFO is hired?
The engagement should define scope, cadence, fees, access, confidentiality, exclusions and escalation clearly.
